Terms and Conditions between:

Signet Designs, Inc. (SDI)

Barcode Purchaser (BP)

SDI agrees to sell the number of barcodes requested by the BP. Each barcode number is an extension of the Company Prefix owned by SDI, SDI acknowledges that this prefix was purchased directly from the UCC (now GS1 US). A copy of this certificate of ownership can be provided upon request.

BP assumes all responsibility for gathering information pertaining to retailers: their rules, restrictions, and requirements. BP acknowledges that not all retailers accept barcodes from vendors without original certificates. SDI agrees to provide a Certificate of Issuance, guaranteeing that each barcode issued to the BP is unique and assigned only to the BP.

SDI agrees to maintain a registry of the numbers sold to BP, and to designate those numbers exclusively to BP and no other party. BP is responsible for the proper recording of product information associated to each barcode number.

SDI agrees to refund the amount paid, unconditionally, for a period of 14 days from the date of purchase. Notification by e-mail is accepted, but will be finalized upon SDI's receipt of a signed hard copy no more than thirty days from date of purchase. Upon cancelation, BP agrees to destroy all information pertaining to the barcode(s issued, at which time the barcode number(s) ownership returns to SDI. BP accepts all legal action against them in the event that the BP continues to use the barcode(s) issued.

BP agrees that the barcode(s) will not be used in any illegal practice. BP is responsible for all transactions related to the barcode(s) use. BP agrees not to use SDI's prefix in any other way including but not limited to using additional numbers not issued through this purchase agreement.

BP may not at any time resell or transfer barcode numbers with the exception of the sale of BP's business (of which the barcodes are an asset of). In the event of a transfer of ownership, the BP agrees to notify SDI within thirty days of this transaction and the new owners must sign an agreement as to the same terms and conditions herein.

BP agrees to hold harmless, indemnify, and release SDI from any and all claims resulting from the use of the barcode number(s) issued to them by SDI, including, but not limited to all legal fees, retailers punitive fines, product liability claims, and any criminal prosecutions.

Failure to adhere to any or all of the terms above will constitute a breach of contract.
